Article 1 – Purpose and Definitions

1.1 These General Terms and Conditions of Sale (“Terms”) are intended to define the rights and obligations of LTD, registered with Companies House, hereinafter referred to as the “Marketplace.”

1.2 Only any specific terms provided, these General Terms and Conditions, and applicable commercial law govern the sale of products and services offered by the Marketplace. They prevail over any conflicting clause appearing on orders or documents issued by the Client.

1.3 The Marketplace is a virtual space allowing third parties to offer a wide range of products to users located in different countries worldwide.

1.4 These third parties may be legal entities or individuals offering their products to users through the platform and its various digital environments.

1.5 “Environments” refers to the different web addresses where the Marketplace’s logo or name appears.


Article 2 – Scope of Application

2.1 These Terms apply to any order and any purchase of products made from sellers through the platform.

2.2 Any client placing an order for a product offered by a seller on the Marketplace acknowledges and accepts these Terms without reservation.

2.3 Any exception or modification to these Terms must be agreed in writing. All other provisions remain fully enforceable.

2.4 These Terms apply to buyers considered consumers as well as those classified as professionals.

2.5 The application of value-added tax is solely the responsibility of the seller and the consumer, in accordance with Article 2.4. The Marketplace cannot be held liable for any errors or variations in tax application between countries.

2.6 All rights and claims provided under these Terms also apply to intermediaries and third parties involved in the Marketplace, including sellers and buyers.

2.7 The Marketplace reserves the right to amend these Terms at any time. Amended Terms apply immediately upon publication on the site. Any order placed after such publication constitutes acceptance of the updated Terms.


Article 3 – Client

3.1 The client must be at least 18 years old.
3.2 The client must be reachable by email.
3.3 The client acknowledges that the Marketplace acts solely as an intermediary between a manufacturer and the final buyer.
3.4 The client agrees to comply with these Terms as well as all applicable laws and regulations.
3.5 The client is solely responsible for the accuracy of the information they provide.


Article 4 – Third-Party Offers

4.1 The Marketplace acts as a commercial agent for the seller. The client acknowledges that the sales contract is concluded exclusively between the client and the seller. The Marketplace is not a party to this contract.

4.2 In the event of any question or complaint regarding a purchased product, the client must contact the Marketplace, which will provide the return address for defective or non-compliant products. Refund procedures will also be communicated by the Marketplace.

4.3 The Marketplace cannot be held liable for defects, non-compliance, or damages related to purchased products.


Article 5 – Order and Delivery

5.1 The client may place an order through the Marketplace by following the standard procedure.
5.2 The client may receive an invoice issued by the seller under their own conditions.
5.3 Ownership of delivered items transfers to the client only after full payment has been received.


Article 6 – Payment and Refund

6.1 The client is responsible for paying the purchase price of products ordered via the Marketplace platform. Payment made directly to the seller does not release the client from their payment obligation.

6.2 Under no circumstances shall the Marketplace be held responsible for extended delivery times resulting from the product’s place of manufacture or from a force majeure event as defined in Article 11.1. No refund may be claimed or obtained unless expressly agreed in writing.


Article 7 – Seller-Specific Terms

7.1 By purchasing a product through the platform, the client acknowledges having read and accepted the seller’s own terms and conditions of sale.


Article 8 – Information and Data Use

8.1 The client agrees to check their email regularly to remain informed of communications from the Marketplace or the seller.
8.2 The Marketplace cannot be held responsible for missing, inaccurate, or delayed information, regardless of the cause.
8.3 The client agrees that only the information strictly necessary for the execution of the sales contract (name, address, contact details) will be transmitted.
8.4 The client acknowledges that a review or rating system may be implemented. They may be invited to provide feedback by email. The client agrees to provide accurate, non-misleading information and to refrain from offensive, threatening, or defamatory content.
8.5 The Marketplace reserves the right to reject or remove any review contrary to the law, public order, or accepted standards of conduct.


Article 9 – Miscellaneous Provisions

9.1 The Marketplace reserves the right, at its sole discretion, to restrict, refuse, or revoke certain privileges, block an order, or limit the visibility of a seller’s listings based on the client’s commercial history.
9.2 Value-added tax cannot, under any circumstances, be applied on top of another tax already imposed by a country.


Article 10 – Severability Clause

10.1 If any provision of these Terms is deemed invalid, the remaining provisions shall remain fully enforceable. The invalid provision will be replaced by a valid clause that best reflects the original intent.
10.2 The Marketplace reserves the right to temporarily suspend certain features or seller offers on the platform, without justification or prior notice.


Article 11 – Force Majeure

11.1 The Marketplace, sellers, and carriers cannot be held liable for delays or failures resulting from a force majeure event or unforeseeable circumstances, including but not limited to: acts of civil or military authority, strikes, fire, flood, storm, riot, attack, system failure, missing documentation, or any external event beyond their control.


Article 12 – Governing Law and Jurisdiction

12.1 These Terms are governed exclusively by the laws of England and Wales.
Any dispute relating to their interpretation or enforcement shall fall under the exclusive jurisdiction of the District Court of the Kent region, unless otherwise required by law.
